North American OEM Production P.O. Contract Terms and Conditions Comparative Analysis
The North American OEM Production P.O. Contract Terms and Conditions Comparative Analysis compares terms and conditions for BMW, DCX, Ford, GM, Honda, Hyundai, Nissan, Toyota, VW/Audi as well as the OESA Model Terms and Conditions. This version updates and enhances the original OESA Production P.O. Contract Terms and Conditions Comparative Analysis published in May 2002. Contract terms and conditions create rights and obligations critical to a supplier’s ability to earn a profit; protect investment in intellectual property, ER&D and capital equipment; and secure financing and external credit. The analysis looks at the different provisions of the contract terms in detail and compares and contrasts various OEM approaches. The document also provides a commentary to help suppliers interpret the language and understand the implications of specific provisions. OESA members have found the analysis an invaluable tool for legal and commercial staff. The document assists suppliers negotiating concerns with customers and allows the opportunity to improve contractual relationships with customers. The analysis is $250 for members and $400 for non-members. A 20 percent discount may be applied to orders of five or more. SALES TAX: Add for deliveries in MI and NC: MI = 6% NC = 7%, Mecklenberg Country = 7.5%, Dare Country = 8% For questions about content, contact Margaret Baxter, at 248.952.6401 ext. 223 or mbaxter@oesa.org.
